Founding act-statute of the foundation

Today, 28.11.2022 in the city of Varna, the undersigned, Aleksandr Andreevich Suslin, with this founding deed, make a donation of BGN 2,000 /two thousand/ for the establishment of a Foundation within the meaning of Section II of the Law on Non-Profit Legal Entities of the Republic of Bulgaria.

This founding act also regulates the organization and activities of the Foundation.


SECTION I

General

Legal status

Art. 1 (1) The Foundation is a non-corporate legal entity with a non-profit purpose for carrying out activities for the public benefit, subject to registration in accordance with the Law on Non-Profit Legal Entities of the Republic of Bulgaria.

(2) The foundation is established with the sum of 2,000 /two thousand/ BGN, which is provided free of charge with a deed of donation by the founder Aleksandr Andreevich Suslin.

(3) The Foundation is a non-governmental, non-political, independent, voluntary and self-governing non-profit organization operating according to democratic principles and guided by humanitarian ideas

(4) The foundation will carry out activities for the public benefit.

(5) The foundation is established for an indefinite period.

(6) The foundation may open branches. Branches may be opened by decision of the Board of Directors.


SECTION II

Name and registered office

Art. 2 (1) The name of the Foundation is HELPING THE GOOD / СЪДЕЙСТВИЕ НА ДОБРОТО, written in Latin as SADEYSTVIE NA DOBROTO.

(2) The seat of the foundation is in the city of Varna.

(3) The address of the foundation is: 9000 Varna, 12 Dr. Piskyuliev Str., Entrance B, 6th Floor.


SECTION III

Goals, means and additional economic activity of the Foundation

Art.3 The Foundation sets the following goals in the Republic of Bulgaria:

To promote the development of educational, cultural and health projects, technologies and services for children, youth, workers, pensioners, as well as special social groups. To assist the familiarization of children and adults with humanistic values and intellectual achievements, including through the development of schools, clubs, courses, libraries, reading rooms and community centers. To work towards the social integration and personal realization of disadvantaged children and adults. To support the treatment and/or rehabilitation of children and adults, to improve living conditions in orphanages, homes for the elderly, shelters. To create circumstances and provide conditions for freedom of expression, protection from violence, crime prevention, access to knowledge, education, support and other needs of human individuals, as well as other goals defined by law.

Art. 4 (1) Means and activities to achieve the goals of the Foundation:

    • Provision of targeted financial assistance to individuals, organizations, projects and programs corresponding to the fulfillment of the Foundation's goals;

    • Preparation and implementation of targeted socially oriented projects and programs at the regional and national level, as well as participation in similar projects and programs as a sponsor, main contractor or subcontractor;

    • Cooperation with organizations, companies, companies, individuals from the country and abroad in accordance with the goals of the Foundation;

    • Membership in non-political organizations, participation and organization of meetings and events, conclusion of contracts to achieve the goals and objectives of the Foundation;

    • Creates an active and stable environment for acquiring donations and other material assets necessary to achieve the Foundation's goals.

(2) To achieve its goals, the Foundation may participate in any other activities permitted by law.

(3) To achieve its goals, the Foundation may carry out additional business activities, such as printing and advertising activities, organizing charity events, organizing conferences, paid seminars and trainings and the like.

(4) The income realized from the additional economic activity is used only to achieve the goals of the Foundation, without the possibility of profit distribution.


SECTION IV

Property. Fundraising.

Art.5 (1) The property of the Foundation consists of:

    1. The initial donation of 2000 /two thousand/ BGN.

    2. Donations and bequests from individuals and legal entities.

    3. Income from managing the Foundation's property, if any.

    4. Income from economic activity under Article 4, paragraph (3).

    5. Other sources permitted by law.

(2) Funds for the activities of the Foundation are raised from donations, bequests and other sources permitted by law, made by local and foreign natural and legal persons and from the economic activity of the Foundation.

(3) The subject of a donation or bequest in favor of the Foundation can be: money, valuables, securities, movable property, real estate and others.

(4) The activity of the Foundation regarding the expenditure of the property shall be carried out in compliance with the provisions of this Statute and the norms of the Law on Non-Profit Legal Entity.


SECTION V

Device and control

Art. 6 (1) Bodies of the Foundation are:

I. Collective body composed of a Management Board consisting of three members:

    1. Chairman of the Management Board, the founder of the Foundation Aleksandr Andreevich Suslin, 

    2. Yordan Demirov Yordanov, 

    3. Letitia Antonova Atanasova. 

II. Governing and representative body:

    • Chairman of the Management Board, founder of the Foundation, Aleksandr Andreevich Suslin. 

Art. 7 (1) The Management Board has the following powers and competencies:

    • Makes a decision with a qualified majority of 2/3 of all members, in the cases of gratuitous spending of the Foundation's property under the conditions of Art. 41, paragraph 3 of the Law on Non-Profit Legal Entity.

    • Accepts the Foundation's annual financial report and decides on its public announcement in the National Registry of National Register of Citizens at the Registration Agency.

    • Approves the annual report on the activities of the Foundation, prepared by the Chairman of the Board.

    • Decides on the Foundation's participation in other related organizations.

    • Decides on the transformation, liquidation and termination of the Foundation.

    • Adopts the Foundation's budget.

    • Makes decisions to open a branch/s of the Foundation.

(2) The mandate of the Board is not limited by a term.

(3) The Board pronounces on decisions taken at meetings, which are entered in a special book for the minutes of the meetings of the Board.

(4) Decisions of the Management Board are taken by a simple majority, except for cases where the Law on Non-Profit Legal Entity provides for a full majority.

(5) The Board of Directors convenes a regular meeting once a year by the Chairman. 

(6) The Board is convened by the Chairman:

    • on his initiative;

    • at the written request of 2/3 of all members.

(7) Each member of the Board attends the meetings in person or through a proxy with an express written power of attorney. Each member of the Board of Directors has one vote, and a member of the Board of Directors can represent by proxy only one of the other members.

Art. 8 A member of the Management Board may be dismissed at his request, addressed in writing to the Chairman of the Board.


SECTION VI 

Representation 

Art.9 The Foundation is represented by the founder Aleksandr Andreevich Suslin, who is also the Chairman of the Management Board of the Foundation.

         

SECTION VII

Rights reserved

Art. 10 (1) The founder reserves the right to:

    • To make a decision to amend and add to the Statute of the Foundation.

    • To decide on admission of new members to the Foundation, admits and dismisses members of the Board.

    • To carry out a comprehensive inspection of the Foundation's activities.

    • In case of termination of the Foundation, acts as liquidator.

    • To represent the Foundation before third parties and conclude contracts with them on behalf of the Foundation.

(2) In the event that the Founder dies, is declared absent or placed under interdiction, the reserved rights under the previous paragraph pass to the member of the Management Board Yordan Demirov Yordanov.


SECTION VIII

Powers of the Chairman of the Management Board

Art. 11 The Chairman of the Management Board:

    1. Forms the strategy of the Foundation;

    2. Prepares an annual report on the activities of the Foundation;

    3. Performs general representative functions of the Foundation in front of all third parties, organizations, institutions;

    4. Implements the decisions of the Board of Directors;

    5. Prepares and implements the Foundation's budget;

    6. Takes decisions for which he is authorized by virtue of the Law and Article 9 of the Statute.

    7. Chairs the meetings of the Board;

    8. Accepts donations by issuing donation certificates.

    9. Takes decisions on all other issues related to the activities of the Foundation, with the exception of those that are within the exclusive competence of the Board.


SECTION IX 

Term, termination, liquidation of the foundation

Art. 12 The Foundation is not limited by a term.

Art. 13 (1) The Foundation terminates its activity on:

    • a decision of the District Court at the seat of the Foundation in the cases provided for by the Law on Non-Profit Legal Entity.

    • in all cases provided for by law and by the Articles of Association.

(2) The Foundation shall not be terminated upon the death of the Founder.

Art. 14 (1) Upon termination of the Foundation, liquidation shall be carried out.

(2) The liquidation is carried out by the Founder and Chairman of the Board.

Art. 15 The liquidation and distribution of the property is carried out according to the special requirements of the ZYULNC, applicable to foundations with public benefit activities.


SECTION X

Final provisions

Art. 16 The provisions of the Bulgarian legislation shall apply to all issues not settled in this founding act/statute.
